Terms of service

These Terms of Service ("Terms") govern your use of Lumi, an AI-companion application and ecosystem ("App"), and the Lumi website at lumi.nexoragroup.dev ("Website"), operated by Nexora Group LLC ("Company", "we", "us", or "our"). By using Lumi, you agree to these Terms.

1. Acceptance of terms

By downloading, installing, or using the App, or by accessing the Website, you agree to be bound by these Terms. If you do not agree, do not use Lumi. If you are using Lumi on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of service

Lumi is an AI-powered virtual assistant that can perform actions on your device, connect to third-party services, and execute tasks based on your voice or text commands. Like all AI systems, Lumi may occasionally misinterpret requests or produce incorrect results.

3. Account and eligibility

You must be at least 16 years old to use Lumi. If you are between 16 and 18, you must have parental or guardian consent. You are responsible for maintaining the security of your device and any credentials used to access connected services through Lumi.

4. Subscription plans and payment

Lumi offers a free tier and paid subscription plans (Pro, Pro+, Ultra, Team, Business, Enterprise). Personal plans are billed monthly or annually; team plans are billed per seat. You may cancel at any time; cancellation takes effect at the end of your current billing cycle. Enterprise plans are governed by a separate agreement.

5. Actions on your behalf

When you give Lumi a command, you authorize Lumi to perform the requested action on your behalf. You are responsible for reviewing and confirming actions before they are executed when confirmation is requested. We are not liable for consequences arising from actions Lumi performs based on your commands, including incorrectly interpreted commands. For destructive actions, Lumi will request confirmation before proceeding.

6. Third-party service connections

When you connect Lumi to a third-party service, you authenticate directly with that service using OAuth or equivalent protocols. Your use of third-party services through Lumi is also subject to those services' terms of use and privacy policies. You may disconnect any third-party service from Lumi at any time.

7. Business and enterprise features

Administrators are responsible for managing integrations, configuring access policies, reviewing audit logs, and ensuring compliance with applicable laws. Lumi maintains separation between personal and organizational data.

8. Intellectual property

The Lumi App, Website, and all associated content are owned by the Company and protected by intellectual property laws. Content you create, modify, or access through Lumi remains your property. Lumi does not claim ownership of your data.

9. Prohibited uses

You may not use Lumi to violate any law, impersonate others, send spam, access unauthorized data, reverse-engineer the App, generate harmful content, circumvent rate limits, automate actions in ways that violate third-party terms, make financial transactions, or use Lumi in safety-critical applications.

10. Limitation of liability

To the maximum extent permitted by law, Lumi is provided "as is" without warranties. We do not warrant that Lumi will be error-free. We are not liable for indirect, incidental, special, or consequential damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims arising from your use of Lumi, your violation of these Terms, or your violation of any third party's rights.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes through the App or via email at least 30 days before the changes take effect.

13. Termination

We may suspend or terminate your access to Lumi if you violate these Terms. You may stop using Lumi at any time.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. Disputes will be resolved through binding arbitration seated in Albuquerque, New Mexico (which may be conducted remotely), except that either party may seek injunctive relief in court for intellectual property violations.
